Corporate Finance
Step One
BCC ADVISERS will represent a client in the procurement of debt funding for the
client's business operation. Our firm is experienced in evaluating financing alternatives that best
apply to each specific funding requirement while seeking out the best set of terms and conditions
to minimize the client's cost of capital and maximize the client's funding flexibility.
Step Two
Prior to engagement, BCC ADVISERS and the prospective client develop the
funding requirement, the desired structure and the desired financing costs. Together we develop a
"Term Sheet" which sets forth the likely rates, terms, and conditions associated with the
requested funding for the client.
Step Three
Upon engagement, the client pays a nominal fee to compensate BCC ADVISERS
for preparation of the "Financing Memorandum". This document is used to communicate to lending
prospects about the borrower and contains various items of background and financial information
that lenders will require to consider the specific loan request.
Step Four
Each funding need is thoroughly reviewed in line with the client's present and future business
plans so that a funding structure is crafted that works for the client. The Financing Memorandum
establishes the reasons why the lender should extend credit to the client, and highlights
tangible and intangible values inherent in the client's business. After pre-qualifying prospective
lenders, a select group is identified to make proposals to the client. The client is then able to
select the most appropriate alternative.
This approach allows the client to get the best terms available in the marketplace while
concentrating their time on other equally important corporate matters. Our fee is negotiated to be
a percentage of the funding obtained for the client. The client has the ability to accept or
reject any and all of the loan proposals. BCC ADVISERS earns its fee only when it
gets results acceptable to the client.
